Partner Programme Terms

Last updated: 24 September 2026· v1.2

These Partner Programme Terms ("Partner Terms") govern your participation in the EasyLounge referral programme (the "Programme") operated by SIR PATRYK PEAS, ul. Długa 57c/45, 53-633 Wrocław, Poland, NIP (VAT): PL8982147972, trading as EasyLounge ("EasyLounge", "we", "us", "our").

They are a separate agreement from our Terms of Service, which govern use of the EasyLounge platform as a Lounge Operator. If you both operate a lounge with us and take part in the Programme, both agreements apply to you, each to its own subject matter. Where they conflict on a Programme matter, these Partner Terms prevail.

Our Partner Privacy Notice describes how we handle your personal data in connection with the Programme and forms an integral part of these Partner Terms.

By accepting these Partner Terms when you join, you agree to be bound by them.

1. What the Programme Is — and Is Not

You refer a shisha lounge to EasyLounge. If that venue becomes a paying customer, you earn a share of what we collect from it, for as long as it keeps paying.

"Partner" is the name of the programme, not a legal relationship. Nothing in these Partner Terms creates a partnership, joint venture, agency, franchise, fiduciary, or employment relationship between you and EasyLounge. You are an independent participant. You have no authority to bind us, to make representations on our behalf, to negotiate pricing, or to hold yourself out as our agent, reseller, or employee.

2. Definitions

  • Partner — you, the individual or entity accepting these Partner Terms.
  • Referral Link — a link of the form easylounge.io/r/<code> issued to you, or the code within it entered manually.
  • Referred Venue — a lounge that becomes a paying EasyLounge customer and is attributed to you under Section 4.
  • Commission — the amount you earn on a payment we collect from a Referred Venue.
  • Settlement Rail — how a Commission is paid to you: either as a Subscription Discount or in Cash, determined by which Referral Link the Referred Venue arrived through (Section 6).
  • Clearing Period — the thirty (30) days a Commission is held before it may be settled.

3. Eligibility

You must hold an EasyLounge account and accept these Partner Terms to take part. You must be at least 18 years old and legally capable of entering into a binding agreement.

You may take part whether or not you operate a lounge with us. Operating a lounge and participating in the Programme are independent — one is not a condition of the other.

If you do not operate a lounge with us when you join, you are applying, and we review your application before you take part. When you join you tell us how you intend to refer venues. Your participation begins only when we approve the application. Until then your referral link does not attribute venues and nothing accrues from sign-ups made through it, and nothing does if we decline it. We decide applications at our discretion and need not give reasons. If you operate a lounge with us when you join, your participation begins immediately.

We may decline any application, and may suspend or end your participation, in accordance with Section 11.

4. Attribution — How a Venue Becomes Yours

  • By link. A visitor who opens your Referral Link is attributed to you for ninety (90) days. The most recent link opened wins.
  • By code. A code entered manually on our pricing page always takes precedence over a link previously opened.
  • By claim. Within thirty (30) days of a venue being created, you may ask us to attribute it to you by name. We will attribute it only after confirming with that venue.

Attribution is fixed at the moment the venue begins checkout and is not revisited afterwards. Each venue can be attributed once, ever — a venue that cancels and later returns under the same business does not generate a second attribution.

Which Referral Link you send determines how you are paid for that venue's entire lifetime (Section 6). This cannot be changed afterwards. If you hold more than one link, send the one you mean.

4.1 Venues That Do Not Qualify

No Commission arises where:

  • the venue was already a lead we had contacted before your referral;
  • the venue came to us through a paid advertising channel or a sales agency;
  • you own, co-own, or are the billing contact for the venue (Section 5);
  • the payment is an onboarding fee, hardware charge, or other one-time service rather than a subscription payment;
  • no money was actually collected — a trial period, or an invoice reduced to zero.

Where we reject an attribution, the reason is shown on your partner dashboard.

5. No Self-Referral

You earn nothing on a venue you own, co-own, or are the billing contact for. We check this against the account that owns the venue and against the billing email on the subscription.

Referring the lounge you work at is permitted. A manager or staff member may refer their own workplace, provided the owner is told — the disclosure is made when the referral is accepted. This is deliberate: it is one of our strongest channels, and we would rather it be open than hidden.

6. What You Earn, and How You Are Paid

6.1 The Rate

Fifteen percent (15%) of every payment we collect from a Referred Venue, for as long as that venue keeps paying.

The base is the amount actually collected excluding VAT and after any discount — not the amount the venue was invoiced. Plan upgrades raise your Commission from the next payment. Annual plans pay 15% of the annual invoice when it is collected, not spread across twelve months.

Commission is calculated per venue. A group operating three lounges is three subscriptions and three Commissions.

6.2 The Rate Is Locked Per Referral

The 15% rate is fixed for each Referred Venue at the moment it is attributed to you, and stays at that rate for the life of that venue's subscription.

We may change the rate for future referrals on thirty (30) days' written notice. Such a change never affects venues already attributed to you.

6.3 The Clearing Period

Every Commission is held for thirty (30) days from the date the payment is collected before it can be settled. It is visible on your dashboard throughout that period; it simply cannot move yet. The hold exists to cover refunds and chargebacks.

6.4 The Two Settlement Rails

Which rail applies is a property of the Referral Link the venue arrived through, fixed at attribution:

(a) Subscription Discount. Your Commission is applied as a discount against your own EasyLounge subscription.

  • It is applied automatically to your next invoice. There is nothing to request and no bank details to provide.
  • There is no minimum. Every cleared amount is applied, however small.
  • Your invoice is reduced to zero but never below zero. Any surplus carries forward to the following invoice and continues to accumulate.
  • On annual billing, a discount waits for your next annual invoice, which may be up to twelve months away. It is visible on your dashboard throughout.
  • A Subscription Discount can never be converted into money. It is a reduction in what you owe us, not a payment to you, and there is no mechanism by which it becomes cash.
  • If you stop being an EasyLounge customer, Commissions continue to accrue but hold, because there is no invoice to reduce. They settle if you subscribe again. They are not converted to cash and are not forfeited.

(b) Cash. Your Commission is paid to you as money.

  • You withdraw it yourself once your cleared balance reaches fifty US dollars (USD 50). Below that it remains available and simply accumulates.
  • Payments are made in USD. We bear our sending fees; you bear any receiving fees, currency conversion, and charges levied by your own provider.
  • You must provide valid payment details before a withdrawal can be made.

6.5 Refunds, Chargebacks, and Reversals

If we refund a Referred Venue's payment, or a chargeback or dispute is raised against it, the corresponding Commission is reversed in proportion to the amount actually returned. A partial refund reverses a proportionate part.

  • On the Subscription Discount rail, where the discount has already been applied to an issued invoice, the reversal appears as a charge on your next invoice. An invoice we have already issued cannot be altered.
  • On the Cash rail, the reversal is deducted from your next withdrawal.

Where a reversal exceeds your available balance, the shortfall is carried and offset against future Commissions.

7. Taxes

Partners are responsible for determining, reporting and paying taxes for which they are personally liable under the laws applicable to them. EasyLounge will withhold tax or issue a tax information statement where required by applicable law. The tax treatment of a Commission may depend on the Partner's tax residence, business status and activities.

In particular, you are responsible, in every jurisdiction in which you are liable, for:

  • declaring the amounts you earn under the Programme to the relevant tax authority;
  • calculating and paying the income tax, self-employment tax, social-security and health contributions, VAT, and any other levy for which you are personally liable on those amounts;
  • registering for any tax or business status your participation requires, and maintaining it;
  • issuing any invoice, bill, or document your own tax authority requires of you;
  • keeping your own records sufficient to support those declarations.

Except where applicable law requires it, EasyLounge does not:

  • withhold, deduct, collect, or remit tax on your behalf;
  • file any return, declaration, or information report on your behalf;
  • register you for any tax or social-security scheme.

EasyLounge does not issue you a payslip, employment certificate, or any document representing an employment or engagement relationship, and does not provide tax, accounting, or legal advice of any kind.

Amounts stated in these Partner Terms are gross. Any tax due on them is yours to pay out of them. We will not gross up, reimburse, or otherwise increase a Commission to account for tax you owe.

Where you are paid by Subscription Discount, the amount is a reduction in the price you pay us for our services and appears as a line on your own invoice. Determining how that reduction is treated under the tax law applying to you is your responsibility.

You indemnify EasyLounge against any tax, contribution, interest, penalty, or cost assessed against us, together with reasonable costs of dealing with it, arising from your failure to meet an obligation in this Section — except to the extent it results from our own failure to comply with a law binding on us.

Where applicable law requires us to withhold from a settlement, we will do so. Where it requires us to obtain tax information or documentation from you, or to issue a tax information statement, we may hold settlement until you provide what is required. Any amount withheld under such a requirement is treated as paid to you.

7.1 Your Tax Details

Before your first Cash settlement, you must tell us:

  • the country of your tax residence; and
  • whether you take part in the Programme as a business (for example as a registered sole trader or a company) or as a private individual.

We use this to settle with you the way the law applying to you requires, including whether we must withhold tax or issue a tax information statement. Depending on your answers, we may also ask for the details a settlement or a statement requires — for a business, your legal name, registered address and tax identification number; for a private individual resident in Poland, your PESEL number and home address — and, where the law applying to you calls for it, evidence of your tax residence. We will not make a Cash settlement until you have given us what is required.

You are responsible for the accuracy of what you tell us, and you must tell us promptly if any of it changes. How you are settled can depend on it, and it cannot be decided by a single rule for every country.

7.2 If You Take Part as a Business

If you take part in the Programme in the course of your business, you must issue us an invoice (or any other document the law applying to you requires) for each Cash settlement, and account for the Commission in your own business. We may hold a Cash settlement until we have received it.

Sections 7.1 and 7.2 do not apply to Commissions settled by Subscription Discount, which are a reduction in the price you pay us rather than a payment to you.

8. Your Conduct

You must promote EasyLounge honestly and describe the Services accurately. You must not:

  • bid on "EasyLounge" or confusingly similar terms in paid search;
  • list your code or link on coupon, voucher, discount, or cashback sites;
  • present yourself as EasyLounge support, staff, or an official representative;
  • send bulk unsolicited email, SMS, or messages, or otherwise breach applicable marketing law;
  • use or alter our name, logo, or brand assets beyond what we supply for the Programme;
  • register domains, social accounts, or app listings using our name or a confusable variant;
  • make claims about pricing, features, availability, or results that we have not published;
  • attempt to attribute a venue by creating accounts, placing orders, or supplying information you know to be false.

You must comply with all applicable law in how you promote the Programme, including advertising, consumer-protection, and electronic-marketing rules, and must disclose the commercial nature of your referral where the law requires it.

9. Your Dashboard and Our Records

Your partner dashboard shows your attributed venues, your Commissions, what is clearing, and what has been settled. It shows you the names of the venues you referred so that you can identify your own earnings.

Our records are the authoritative record of payments collected, Commissions earned, and settlements made. If you believe a figure is wrong, contact us within ninety (90) days of it appearing and we will investigate in good faith.

10. No Guarantee of Earnings

We make no representation that you will earn any particular amount, or anything at all. The Programme depends on venues you refer choosing to subscribe and continuing to pay.

We may change our pricing, plans, or product at any time under the Terms of Service, and this may affect what you earn. We do not guarantee the continued availability of any plan.

11. Suspension, Termination, and Changes

You may leave at any time by telling us. Cleared Commissions earned before you leave remain payable on their existing rail, subject to the Clearing Period and to Section 6.5.

We may suspend or end your participation immediately where we reasonably believe you have breached Section 5 or Section 8, engaged in fraud or misrepresentation, generated chargebacks or spam complaints, or brought our name into disrepute. Where we end your participation for such a cause, unpaid Commissions are forfeited and no further Commissions accrue.

We may end your participation without cause on thirty (30) days' notice. In that case Commissions already earned remain payable and settle normally.

We may end or materially change the Programme on thirty (30) days' notice. Existing attributions continue on their locked rate through any notice period.

We may revoke an individual Referral Link at any time. Revoking a link stops it attributing new venues; it does not affect venues already attributed through it, which continue to earn on their existing rail.

12. Liability

To the maximum extent permitted by law, our total liability to you arising out of or in connection with the Programme is limited to the total Commissions payable to you in the twelve (12) months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or opportunity, arising out of the Programme.

Nothing in these Partner Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud.

13. Changes to These Partner Terms

We may revise these Partner Terms. When we make material changes we will update the version and date above and notify you by email or through the Programme. Continued participation after a change takes effect constitutes acceptance.

A change to the Commission rate is governed by Section 6.2 and never applies retrospectively to venues already attributed to you.

14. Governing Law and Disputes

These Partner Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Republic of Poland, together with directly applicable European Union law.

The parties will use good-faith efforts to resolve any dispute through negotiation. Failing resolution within sixty (60) days, the dispute is submitted to the exclusive jurisdiction of the competent courts of Wrocław, Poland, except that consumers retain any non-waivable right to bring proceedings in the courts of their place of residence under EU consumer law.

15. General

  • Entire agreement. These Partner Terms, together with the Partner Privacy Notice, constitute the entire agreement between you and EasyLounge in relation to the Programme.
  • Severability. If any provision is held invalid, the remainder stands and the invalid provision is reformed to the minimum extent necessary.
  • No waiver. Failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Partner Terms without our written consent. We may assign them freely, including on a merger or sale of assets.
  • Notices. We may give notice by email to the address on your partner account or through the Programme.
  • Language. These Partner Terms are made available in English. Where a translation conflicts, the English version prevails to the extent permitted by law.
